Please read these terms carefully.
Vatican Homes (herein referred to as Seller).
If Seller extends credit, invoices shall be due and payable as stated on the invoice. The extension of credit may be changed or withdrawn at any time. Interest of 1.5% per month and a rebilling fee of 0.5% per month will be charged on all invoices not paid by the due date. If credit is not extended, payment terms shall be in the form of cash or any secured transaction as per Seller's discretion.
Title to goods passes to the Buyer upon delivery to the carrier, and Buyer assumes all risk of loss, damage, or delay in transit. Acceptance of goods at Buyer's location indicates assent to all terms herein.
Any claim for defective goods must be made within ten (10) days after delivery. Failure to notify Seller within this period constitutes acceptance of goods. Seller's liability is limited to the reimbursement of Buyer's actual cost of the defective goods. Seller shall not be liable for special, indirect, or consequential damages.
Seller is not liable for delays or failure to perform due to events beyond its control, including but not limited to natural disasters, labor disputes, or government actions. Performance will resume once such events cease, and the agreement will remain in full force until all deliveries are completed.
If Buyer fails to make payments as agreed, Seller may declare all sums due immediately, require advance cash payment, cancel agreements, or take possession of delivered goods. Buyer is responsible for any costs incurred by Seller due to default, including attorney's fees.
Returns must be authorized by Seller within 10 days of delivery. Goods must be in "like new" condition and returned within 30 days. A restocking fee of 20% applies. Buyer is responsible for actual freight charges, and refunds will only be processed after the return is received and inspected by Seller.
This invoice supersedes all prior agreements and constitutes the entire agreement between the parties. No other representations or agreements, written or verbal, are binding unless expressly stated in this contract or an addendum.
This agreement shall be governed and construed in accordance with the laws of the State of Georgia for transactions in Atlanta, and the State of Texas for transactions in Dallas. Any term found to be void by legislation or court decision shall not affect the remainder of the agreement.
